Terms and Conditions of Sale and Use

Welcome to Helix Biotech, Inc. (“Helix Biotech”, “we”, “us”, or “our”). These Terms and Conditions of Sale and Use ("Terms") govern all purchases, quotations, evaluations, samples, and use of products and services from Helix Biotech, whether made through our website, quotations, purchase orders, invoices, email correspondence, distributors, or any other commercial transaction, as well as use of our website. By purchasing, accepting delivery of, accessing, or using our products or services, you agree to be bound by these Terms. If you do not agree, please do not purchase or use our products or services.

1. Use of Our Website and Services

You agree to use our website and products only for lawful purposes. You may not:

  • Violate any laws or regulations;

  • Interfere with or compromise the security or integrity of our systems;

  • Copy, modify, or resell any part of our Services except as expressly permitted.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time.

2. Products and Orders

All products listed on our website are subject to availability. Prices and details may change without notice.
We reserve the right to:

  • Refuse or cancel orders suspected of misuse, unauthorized resale, or reverse engineering;

  • Limit quantities purchased per person, per organization, or per order;

  • Cancel or refuse orders that violate export, IP, or usage restrictions.

You agree to provide accurate billing, shipping, and contact information.

All products are sold solely for the purchaser’s own internal research, evaluation, testing, manufacturing, or other lawful purposes expressly authorized by Helix Biotech, and may not be resold, redistributed, or used to develop competing products without our prior written consent.

Purchase of any Helix Biotech product transfers ownership only of the physical product supplied. No ownership or license is granted with respect to any formulation, chemistry, manufacturing process, analytical method, software, algorithm, trade secret, know-how, patent, copyright, trademark, or other intellectual property except for a limited, non-exclusive, non-transferable license to use the purchased product for the purchaser's own internal research purposes.

Helix Biotech reserves the right to discontinue products, refuse future sales, or terminate commercial relationships with purchasers that violate these Terms.

3. Payments

Payments must be made in full at checkout unless otherwise agreed. All transactions are processed securely.

4. Shipping

Delivery times are estimates and may vary. International buyers are responsible for applicable duties, taxes, and fees.

6. Intellectual Property & Prohibited Uses

All content, designs, trade names, trademarks, logos, software, and product designs on this website and in our products are the exclusive property of Helix Biotech, Inc. or its licensors.

By purchasing or using our products or accessing our Services, you agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the composition, structure, design, or underlying technology of any Helix Biotech product;

  • Perform or cause to be performed analytical, chemical, biochemical, chromatographic, spectroscopic, microscopic, sequencing, mass spectrometric, or other characterization studies that determine or are reasonably expected to determine the composition, formulation, constituent ingredients, manufacturing methods, or proprietary characteristics of any Helix Biotech product;

  • Copy, reproduce, modify, or create derivative works from any product, component, software, or documentation;

  • Manufacture, reproduce, synthesize, formulate, replicate, or otherwise create products substantially similar to any Helix Biotech product;

  • Use our products or information to develop, manufacture, or commercialize a competing product or service;

  • Use Helix Biotech products as reference materials, standards, or benchmarks for the purpose of developing, validating, calibrating, or improving competing assays or commercial products.

  • Use Helix Biotech products, data, methods, or information obtained through use of the products to benchmark, validate, optimize, manufacture, commercialize, or assist others in developing competing products or services;

  • Transfer products to any third party for any prohibited use described in these Terms;

  • Remove or alter any proprietary notices, labels, or trademarks.

Helix Biotech products embody proprietary formulations, compositions, chemistries, manufacturing methods, analytical methods, calibration methods, trade secrets, confidential information, and know-how developed through substantial investment. Purchasers acknowledge that these proprietary rights remain the exclusive property of Helix Biotech.

You acknowledge that unauthorized use, duplication, analysis, manufacture, or commercialization of Helix Biotech products may cause irreparable harm, and we reserve the right to seek injunctive relief and damages in addition to any other remedies available under law.

All trademarks, including Helix Biotech™, Nova™, EZNano™, Twist™, and RNase Zero™, BrightQuant™, Omni™, and StrandSolve™ are trademarks or registered trademarks of Helix Biotech, Inc.
All rights not expressly granted are reserved. These restrictions survive delivery of the products, completion of any services, cancellation of orders, and termination of any commercial relationship between the purchaser and Helix Biotech.

7. Limitation of Liability

To the fullest extent permitted by law, Helix Biotech, Inc. is not liable for any indirect, incidental, or consequential damages arising from the use of our products or website.

Unless expressly stated otherwise, all products are sold for Research Use Only (RUO) and are not intended for human or veterinary therapeutic, diagnostic, or clinical use. Purchasers are solely responsible for determining whether a product is suitable for their intended research application.

8. Acceptance of Terms

Submission of a purchase order, acceptance of a quotation, placement of an online order, payment of an invoice, receipt, acceptance, or use of any Helix Biotech product or service constitutes acceptance of these Terms and Conditions of Sale and Use.

9. Export and Compliance

Purchasers are responsible for complying with all applicable export control laws, sanctions, import requirements, and regulations governing the purchase, shipment, possession, and use of Helix Biotech products.

10. Governing Law

These Terms are governed by the laws of the State of Tennessee, USA. Any disputes will be handled in state or federal courts located in Knoxville, Tennessee.

11. Changes to These Terms

We may update these Terms at any time, with the updated version posted on this page.
